Code of conduct

Introduction

Umicore believes that success depends upon a relation of trust and professionalism with its main stakeholders, namely its employees, commercial partners, shareholders, government authorities and the general public.

This Code of Conduct is fundamental to creating and maintaining this relation of trust. Its main purpose is to ensure that all persons acting on behalf of Umicore perform their activities ethically and in accordance with laws, regulations and the standards Umicore sets through its policies, guidelines and rules. Umicore refers to Umicore and to all majority-owned subsidiaries.

This Code of Conduct provides a framework for responsible conduct at Umicore, but it is not exhaustive. Umicore employees should always strive to exercise good judgment, care and consideration in their daily work.

Scope and responsibility

The Code of Conduct applies to all Umicore employees worldwide, including temporary personnel, and to any other person or entity acting on its behalf (“Umicore Representatives”). Subsidiaries that are not majority owned are expected to ensure that they comply with the Code. In case of non-compliance, the situation must be reported and the continuation of Umicore’s involvement will be assessed.

Each employee receives electronic access to the Code of Conduct. It is the duty of management to include the Code of Conduct in employee training programs and to promote and monitor compliance with the Code.

All employees must avoid acting, or encouraging others to act, in any way that is contrary to this Code of Conduct, even if such acts may appear to be in Umicore's interest. If any employee is uncertain whether a particular activity (including that of an existing or prospective business partner) is legally or ethically acceptable, that employee should consult in advance with his/her immediate superior or with the Head of the Corporate Legal Department.

Violations of this Code of Conduct will not be tolerated and may, in accordance with relevant legislation, lead to internal disciplinary actions, dismissal or even criminal prosecution. Each case is reviewed objectively in full recognition of the circumstances.

All violations of the Code of Conduct are recorded and reported both through line management and HR channels. The Executive Committee receives a yearly report listing the violations and the measures taken to address them.

Should improper practices or irregularities occur within the Group, necessary corrections and remedial action will be taken to prevent any recurrence.

Complaints & expressions of concern

Umicore wishes to stimulate open discussions about responsible conduct. In this context all employees are responsible for reporting any concerns or complaints to their direct supervisor. Any employee who feels this is not appropriate can address the concern or complaint to the local or regional HR director, the head of the Corporate Legal Department or to the Corporate Internal Audit Department. These reports can be made in the employee’s preferred language and will be handled on a confidential basis.

As a matter of law, concerns regarding questionable accounting matters must be submitted to the head of the Corporate Internal Audit Department.

It is a violation of this Code of Conduct to discriminate against or harass anyone for making a report that brings to light a violation of law or Umicore policy. Any employee who has brought forward any such violation, and feels that it is in any manner used against him or her, should contact his/her direct supervisor, or the local or regional HR director, or the Head of the Corporate Legal Department or the Corporate Internal Audit Department. Anyone submitting a false report will, however, be subject to disciplinary action.

All stakeholders are invited to report concerns or complaints about Umicore’s business approach, or that of its suppliers, using our Grievance contact form. Such complaints can be made anonymously.

All grievances received are directed to Umicore’s Legal Department who ensure that complaints are registered and followed up.

Personal conduct

All Umicore employees or representatives are expected to conduct business and behave impeccably towards business partners, colleagues, and others. This includes being sensitive to and respecting foreign cultures and customs. Umicore does not accept any form of harassment, discrimination or other behavior that colleagues or business partners may regard as offensive or degrading.

Equal opportunities and diversity

Umicore is committed to an inclusive work culture and recognizes that all people are unique and valuable, and respects them for their individual abilities. Umicore does not accept any form of harassment or discrimination on the basis of gender, religion, race, national or ethnic origin, cultural background, social group, disability, sexual orientation, marital status, age or political opinion.

Umicore provides equal employment opportunities and treats all employees fairly. Umicore employees and business units use only merit, qualifications and other professional criteria as the basis for employee-related decisions, regarding for instance recruitment, training, compensation and promotion. Umicore also shows commitment to developing programs and actions to encourage a diverse organization based on the principle of equal opportunity.

Conflict of interest and integrity

Fraud and conflict of interest

All Umicore employees or representatives are forbidden from seeking to obtain advantages for themselves (or for any close relations) that are improper or may harm Umicore’s interests, including financial performance, considerations of environment health and safety, security, or commercial and public reputation.

It is forbidden to take part in or seek to influence any decision under circumstances that can give rise to an actual or perceived conflict of interest. Such circumstances may be a personal interest in the subject matter – economically or otherwise – whether directly or through a close relation.

Any employee who becomes aware of a potential conflict of interest must immediately notify his/her direct supervisor or the Corporate Legal Department. Conflicts of interest may not always be clear cut, so in case of uncertainty, employees should consult one of their supervisors, or the local or regional HR director, or the Head of the Corporate Legal Department or the Corporate Internal Audit Department.

For particularly sensitive functions or areas of responsibility, each unit or department evaluates the need for processes to identify potential conflicts of interest.

Bribes, gifts and favors

It is forbidden to obtain or retain business or to gain any other improper advantage in the conduct of business, by offering, promising or giving any undue advantage to a public official (or a third party) with a view to making that person act or refrain from acting in relation to the performance of her/his official duties. This applies regardless whether the advantage is offered directly or through an intermediary.

Gifts and other favors can only be given or granted to business partners provided that they are modest, both with respect to value and frequency, and provided the time and place are appropriate. While such gifts should comply with locally accepted good business practice, it is not permitted to offer business partners monetary or other favors that may affect or appear to affect any employee’s integrity or independence. As a matter of principle Umicore does not purchase in bulk, store or distribute any branded "goodies" or corporate gifts.

Umicore employees or representatives are not permitted to accept from business partners monetary or other favors that may affect or appear to affect their integrity or independence. Gifts and other favors can only be accepted to the extent they are modest, both with respect to value and frequency, and provided the time and place are appropriate.

Any employee who is offered, has received or feels pressured to provide gifts or other favors beyond common courtesy gifts must, without delay, notify his/her direct supervisor or the local or regional HR director, or the Head of the Corporate Legal Department or the Corporate Internal Audit Department.

Financial interests in other businesses

All Umicore employees or representatives and any member of their immediate family should avoid having any personal ownership interest – directly or indirectly – whether as an investor, lender, employee or other service provider in any other company insofar as it could compromise or appear to compromise their loyalty to Umicore. Before making an investment in a Company that competes with Umicore or does business with Umicore (such as a supplier), other than acquiring less than one percent (1%) of a listed Company, employees must consult their direct supervisor, or the local or regional HR director, or the Head of the Corporate Legal Department or the Corporate Internal Audit Department. Special attention should in all circumstances be given to potential conflicts of interest as described in section 'Fraud and conflict of interest'.

Activities with a competitor, supplier or other business associates

Before engaging in any activity that may be perceived as promoting the interests of a competitor or a supplier or other business partner at the expense of Umicore’s interests, including serving on the board of such Company, employees must consult with their direct supervisor, or the local or regional HR director, or the Head of the Corporate Legal Department or the Corporate Internal Audit Department. Umicore employees may not market products or services in competition with Umicore’s business activities or broader interests.

Confidential information

Information and intellectual property such as copyrights, trade secrets, trademarks and innovative ideas are valuable Umicore assets. These intangible assets must be appropriately managed and protected. Umicore’s general policy of openness and transparency is not in contradiction with appropriate protection of information that may be of value to Umicore’s business interests.

Any information other than general business knowledge and general work experience that becomes known to employees in connection with performance of their work must be regarded and treated as confidential. In such cases employees should refer to the rules against disclosing or using confidential information for personal gain for themselves or others.

Safeguarding assets and records

Safeguarding assets and records referring to Umicore, customers and other business partners is the responsibility of all Umicore employees and representatives. All such assets must be used and maintained with care and respect while guarding against waste and abuse. The use of Umicore time, materials, financial assets or facilities for purposes not directly related to Umicore business is prohibited without authorization. The same applies to the removal or borrowing of Umicore assets without permission.

Compliance

Compliance with laws – general

All Umicore employees must comply with all applicable laws and regulations when conducting business on behalf of Umicore. Assisting or participating in breach of laws by business partners is strictly prohibited, whether it constitutes an illegal act for Umicore or for the employee concerned. Every employee is responsible for seeking to acquire sufficient understanding of the applicable laws and regulations as they apply to their job.

Antitrust and competition

All Umicore employees are expected to comply with applicable antitrust and competition laws. Advice from the Corporate Legal Department must be sought in all matters involving risk of antitrust exposure for Umicore, for all employees and for their team members.

Insider dealing

All Umicore employees must abstain from trading or giving advice concerning trade in securities of Umicore or any other listed companies on the basis of non-public information learned through their work for Umicore. In this context, all employees are expected to adhere to the Umicore Dealing Code, which can be found as Appendix 5 to the Corporate Governance Charter of Umicore.

Maintaining records

Umicore is committed to transparency and accuracy in all its dealings, while respecting confidentiality obligations. All Umicore employees or representatives have the responsibility to maintain necessary records of Umicore’s business, business relations and transactions. It is strictly forbidden to make any false, misleading or artificial entries on Umicore’s books or records. All transactions must be fully and completely documented and recorded in Umicore’s accounting records in accordance with section 'Accurate period reports and other public financial communication'.

Accurate period reports and other public financial communication

As a matter of applicable securities laws and stock exchange listing standards, Umicore is obliged to provide full, fair, accurate and understandable disclosure in its periodic financial reports, other documents filed with applicable regulatory authorities and agencies as well as in its other public communications. Employees, particularly our senior executives and financial officers, are expected to exercise the highest standard of care in preparing such materials, paying particular attention to the following:

  • Compliance with generally accepted accounting principles and Umicore’s system of internal controls is required at all times.
  • All Umicore accounting records must be kept and presented in accordance with the laws of each applicable jurisdiction and must not contain any false or intentionally misleading entries. Moreover, they must fairly and accurately reflect in reasonable detail Umicore’s assets, liabilities, revenues and expenses and must fully and completely document all transactions or related occurrences.
  • No transaction may be intentionally misclassified as to accounts, departments or accounting periods, and unrecorded or “off the books” assets and liabilities must not be maintained unless permitted by applicable law or regulation.

Responding to inquiries from the press and others

Umicore’s profile in domestic and international markets is greatly influenced by our ability to communicate consistently and professionally with external parties, including the media. Consequently, Umicore maintains a principle of openness, honesty and responsiveness when dealing with interested parties outside Umicore as well as with society at large. However, Umicore employees are not allowed to disclose any non-public information when responding to enquiries from external parties.

In order to ensure a coordinated interface with external parties, general inquiries about Umicore or its employees as well as all inquiries from media, should be directed to the relevant communications department or officer. Any inquiry that might have an impact on Umicore, should be referred to Group Communications. Inquiries from financial analysts or investors should be referred to Corporate Investor Relations. Inquiries from external attorneys should be referred to the Corporate Legal Department.

No rights created

This Code of Conduct is a statement of certain fundamental Umicore principles, policies and procedures that govern Umicore’s employees and representatives. It does not create any right for any customer, supplier, competitor, shareholder or any other person or entity.

Introduction

Chez Umicore, nous pensons que la réussite est fonction de la relation de confiance et de professionnalisme entre les principales parties prenantes, à savoir notre personnel, nos partenaires commerciaux, nos actionnaires, les autorités et le public.

Le présent code de conduite est essentiel pour instaurer et maintenir cette relation de confiance. Son rôle principal est de garantir que toutes les personnes agissant au nom d’Umicore mènent leurs activités dans le respect de l’éthique, des lois et des règlements, ainsi que des normes fixées par Umicore dans le cadre de sa politique, de ses directives et de ses règles. L’appellation Umicore fait référence à Umicore ainsi qu’à toutes les filiales majoritaires.

Le présent code de conduite établit un cadre de référence pour une conduite responsable chez Umicore, mais n’est pas exhaustif. Les membres du personnel d’Umicore doivent toujours s’efforcer de faire preuve de discernement, d’attention et de considération dans leur travail quotidien.

Champ d’application et responsabilité

Ce code de conduite s’applique aux membres du personnel d’Umicore dans le monde entier – y compris le personnel temporaire – et à toute autre personne ou entité agissant au nom d’Umicore («les représentants d’Umicore»). Les filiales qui ne sont pas majoritaires sont tenues d’assurer leur conformité au code. En cas de non-respect, la situation devra faire l’objet d’un rapport et le maintien de la participation d’Umicore sera évalué.

Chaque membre du personnel reçoit un accès électronique au code de conduite. Il est du devoir de la direction d’inclure le code de conduite dans les programmes de formation des employés et de promouvoir et de surveiller la conformité au code.

Tous les employés doivent éviter d’agir, ou d’encourager les autres à agir, d'une manière qui soit contraire à ce code de conduite, même si ces actes semblent répondre aux intérêts d’Umicore. Tout employé qui n’est pas certain si une activité spécifique (y compris celle d’un partenaire commercial existant ou potentiel) est acceptable sur le plan juridique ou éthique devrait consulter au préalable son supérieur direct ou le Directeur du Corporate Legal Department

Les violations des règles de ce code de conduite ne seront pas tolérées et peuvent, conformément à la législation applicable, entraîner des mesures disciplinaires internes, un licenciement, voire des poursuites pénales. Chaque cas est analysé objectivement, en pleine connaissance des circonstances.

Toute infraction au Code de conduite est consignée et signalée aux supérieurs hiérarchiques et aux ressources humaines. Le comité exécutif reçoit un rapport annuel énumérant les violations et les mesures prises en la matière.

Si des pratiques incorrectes ou des irrégularités se produisent au sein du Groupe, les mesures correctrices nécessaires seront prises pour prévenir toute récidive.

Griefs et expressions de préoccupation

Umicore souhaite stimuler des débats ouverts sur le comportement responsable. Dans ce contexte, tous les employés sont tenus de faire part de leurs griefs ou préoccupations à leur supérieur hiérarchique. Tout employé qui estime que cette démarche n’est pas appropriée peut adresser ses griefs ou préoccupations au directeur RH local ou régional ou au directeur du Corporate Legal Department ou du Corporate Internal Audit Department. Ces rapports peuvent être rédigés dans la langue de prédilection de l’employé et seront traités de façon confidentielle.

Légalement, les préoccupations suscitées par des aspects comptables suspects doivent être soumises au responsable du Corporate Internal Audit Department.

Tout fait de discrimination ou de harcèlement envers une personne ayant fait un rapport mettant en lumière une violation de la loi ou d’une politique d’Umicore enfreint ce Code de conduite. Tout employé qui a soulevé de telles violations, et qui estime que cette démarche est utilisée contre lui/elle quelle que soit la façon, doit contacter son supérieur hiérarchique, le directeur RH local ou régional, le directeur du Corporate légal Department ou du Corporate Internal Audit Department. Quiconque soumet un faux rapport peut faire l’objet de sanctions disciplinaires.

Conduite personnelle

Tous les membres du personnel ou représentants d’Umicore sont censés avoir, dans leurs contacts commerciaux et autres, une conduite irréprochable vis-à-vis des partenaires commerciaux, de leurs collègues et des autres personnes. Cet impératif s’étend à la prise en compte et au respect des cultures et coutumes étrangères. Umicore n’acceptera aucune forme de harcèlement, de discrimination ou tout autre type de comportement pouvant être considéré comme offensant ou dégradant par des collègues ou des partenaires commerciaux.

Opportunités égales et diversité

Umicore s’engage en faveur d’une culture de travail inclusive et reconnaît que toutes les personnes possèdent leur personnalité et leur valeur propres, et les respecte pour leurs capacités personnelles. Umicore n’accepte aucune forme de harcèlement ni de discrimination fondée sur le sexe, la religion, la race, l’origine nationale ou ethnique, les racines culturelles, les groupes sociaux, les handicaps, les préférences sexuelles, l’état civil, l’âge ni les opinions politiques.

Umicore garantit l’égalité des chances face à l’emploi et traite équitablement tous les membres du personnel. Les membres du personnel et les business units d’Umicore fondent les décisions relatives au personnel (recrutement, formation, rémunération, avancement, etc.) exclusivement sur le mérite, les qualifications et autres critères à caractère professionnel. Umicore se montre également déterminé à élaborer des programmes et des mesures visant à encourager la diversité dans l’entreprise suivant le principe de l’égalité des chances.

Conflit d’intérêts et intégrité


Fraude et conflit d’intérêts

Aucun salarié ou représentant d’Umicore n’a le droit de chercher à obtenir des avantages pour lui-même (ou toute personne proche) qui seraient contraires ou qui pourraient nuire aux intérêts d’Umicore, dont sa performance financière, les aspects liés à l’environnement, la santé et la sécurité, ainsi que sa réputation commerciale et publique.

Il est interdit de prendre part ou de chercher à influencer toute décision dans des circonstances pouvant induire ou laisser supposer un conflit d’intérêts. Ces circonstances peuvent être un intérêt personnel dans le dossier, économique ou autre qu’il soit direct ou qu’il passe par l’intermédiaire d’une personne proche.

Tout employé qui prend conscience d’un conflit d’intérêts potentiel doit immédiatement en informer son supérieur hiérarchique ou le Corporate Legal Department. Il n’est pas toujours facile d’établir avec certitude s’il y a conflit d’intérêts ou non. Dès lors, en cas de doute, les employés doivent consulter un membre de leur hierarchie, le directeur RH local ou régional, le directeur du Corporate Legal Department ou du Internal Audit Department.

En ce qui concerne les fonctions ou domaines de responsabilité particulièrement sensibles, chaque division ou département évalue la nécessité d’établir des procédures visant à déceler les conflits d’intérêts potentiels.

 Corruption, cadeaux et privilèges


Il est interdit d’obtenir ou de conserver un contrat ou de bénéficier d’autres avantages inappropriés dans la conduite des affaires, en offrant, promettant ou octroyant un avantage indu à un officier public (ou à une tierce partie) afin d’inciter cette personne à accomplir ou à éviter d’accomplir un acte dans le cadre de ses missions officielles. Ce principe est applicable que l’avantage soit proposé directement ou par le biais d’un intermédiaire.

Des cadeaux et autres faveurs ne pourront être offerts ou octroyés aux partenaires commerciaux que dans la mesure où ils sont modestes, tant sur le plan de la valeur que de la fréquence, et pour autant que le lieu et l’occasion s’y prêtent. Même si de tels cadeaux sont conformes aux bonnes pratiques commerciales localement en vigueur, il n’est pas autorisé de donner aux partenaires commerciaux des faveurs, monétaires ou autres, pouvant entacher ou sembler entacher l’intégrité ou l’indépendance d’un employé. Par principe, Umicore n'achète pas en gros, ne stocke pas et ne distribue pas d’articles à distribuer portant sa marque ni de cadeaux d'entreprise.

Le personnel ou les représentants d’Umicore n’ont pas le droit d’accepter de la part de leurs partenaires commerciaux des faveurs, monétaires ou autres, pouvant entacher ou sembler entacher leur intégrité ou leur indépendance. Les cadeaux et autres faveurs ne pourront être acceptés que dans la mesure où ils sont modestes, tant sur le plan de la valeur que de la fréquence, et pour autant que le lieu et l’occasion s’y prêtent.

Tout employé à qui on propose, qui reçoit, qui a reçu ou qui se sent obligé d’offrir des cadeaux ou d’autres privilèges, plus importants que les habituels cadeaux de courtoisie, doit sans retard en informer le directeur RH local ou régional, le directeur du Corporate Legal Department ou de l’Internal Audit Department.

Intérêts financiers dans d’autres entreprises


Tout salarié ou représentant d’Umicore et tout membre de leurs proches doit éviter de prendre une quelconque participation dans toute autre entreprise, directement ou indirectement, en tant qu’investisseur, bailleur de fonds, membre du personnel ou fournisseur d’un service quelconque si cela compromet ou semble compromettre leur loyauté envers Umicore. Avant de réaliser un investissement dans une entreprise concurrente d’Umicore ou exerçant des activités avec Umicore (un fournisseur, par exemple), sauf acquisition de moins d’un pour cent (1 %) d’une société cotée en Bourse, les employés consulteront leur supérieur hiérarchique, le directeur RH local ou régional, le directeur du Corporate Legal Department ou du Internal Audit Department. En tout état de cause, il conviendra de veiller particulièrement aux conflits d’intérêts potentiels visés au point "Fraude et conflit d'intérêt".

 Activités avec un concurrent, fournisseur ou d’autres partenaires commerciaux


Avant de s’engager dans une quelconque activité pouvant sembler favoriser les intérêts d’un concurrent, d’un fournisseur ou d’autres partenaires commerciaux aux dépens des intérêts d’Umicore, et notamment siéger au conseil d’administration d’une telle entreprise, les employés consulteront leur supérieur hiérarchique, le directeur RH local ou régional, le directeur du Corporate Legal Department ou du Internal Audit Department. Il n’est pas permis aux employés d’Umicore de commercialiser des produits ou des services en concurrence avec les activités commerciales d’Umicore ou leurs intérêts plus larges.

Informations confidentielles

Les informations et la propriété intellectuelle (droits d’auteur, secrets de fabrication, marques déposées, idées novatrices, etc.) constituent des biens précieux pour Umicore. Ces actifs incorporels doivent être correctement gérés et protégés. La politique générale d’ouverture et de transparence menée par Umicore n’empêche pas la protection adéquate des informations pouvant revêtir une certaine valeur pour les intérêts commerciaux d’Umicore.
Les informations dont les employés auront connaissance dans le cadre de l’exécution de leurs tâches, autres que celles relevant de la conduite générale des affaires et de l’expérience globale de travail, doivent être considérées comme confidentielles et traitées comme telles. Dans de tels cas, les employés veilleront particulièrement à respecter les règles interdisant la révélation ou l’usage d’informations confidentielles pour leur bénéfice personnel ou celui d’autrui.

Protection des biens, des relevés et des archives

La protection des biens, des relevés et des archives relatifs à Umicore, aux clients et autres partenaires commerciaux incombe à l’ensemble des salariés et représentants d’Umicore. Tous ces actifs doivent être utilisés et conservés avec soin et respect, en veillant à éviter le gaspillage et les abus. Sauf autorisation, il est interdit d’exploiter le temps, les équipements, les avoirs financiers ou les installations d’Umicore à des fins sans lien direct avec les activités commerciales d’Umicore. De même, les biens d’Umicore ne pourront être enlevés ni empruntés sans permission.

Respect des lois et règlements


Respect des lois - généralités

Dans la conduite d’activités pour le compte d’Umicore, tous les employés doivent se conformer à l’ensemble des lois et règlements applicables. Assister ou participer à des abus de droit perpétrés par des partenaires commerciaux est strictement interdit, que ces abus constituent ou non des actes illégaux au nom d’Umicore ou de l’employé. Tout employé est tenu de chercher à acquérir une compréhension suffisante de la législation et des règlements applicables dans le cadre de son travail.

Antitrust et concurrence

Tous les employés se conformeront aux lois applicables en matière d’antitrust et de concurrence. Conseil doit être demandé au Corporate Legal Department pour tous les aspects exposant Umicore, les employés et les membres de leur équipe à un risque d’infraction à la législation sur la concurrence.

Délits d’initié

Tous les employés d’Umicore s’abstiendront d’échanger des titres ou de formuler des recommandations concernant l’échange de titres d’Umicore et d’autres sociétés cotées en bourse sur la base d’informations non publiques obtenues dans le cadre de leur travail pour Umicore. Dans ce contexte, tous les salariés sont tenus de respecter le code Umicore en matière de délit d’initié qui se trouve à l’annexe 5 du Corporate Governance Charter of Umicore.

Tenue des livres et archives

Tout en respectant son obligation de confidentialité, Umicore adopte une politique de transparence, de précision et d’exactitude dans toutes ses opérations. Tous les salariés ou représentants d’Umicore sont tenus de conserver tous les documents nécessaires sur les activités, les relations et les opérations commerciales d’Umicore. Les livres et archives d’Umicore ne pourront contenir d’inscriptions erronées, trompeuses ou fausses. Toutes les transactions seront intégralement documentées et enregistrées dans les dossiers comptables d’Umicore, et ce conformément au point 7.5 ci-dessous.

Rapports périodiques fidèles et autres communications à caractère financier

Conformément à la législation applicable aux titres et aux normes en vigueur pour les sociétés inscrites à la bourse, Umicore est tenu de divulguer des informations complètes, exactes, précises et compréhensibles dans ses rapports financiers périodiques, dans d’autres documents déposés auprès des autorités et organismes de réglementation compétents, ainsi que dans ses autres communications publiques. Les membres du personnel, notamment nos cadres supérieurs et responsables des services financiers, ont le devoir d’apporter tous leurs soins à l’élaboration de ces documents, en veillant particulièrement aux points suivants :

  • La conformité avec les principes comptables généralement acceptés et le système de contrôle interne d’Umicore est requise à tout moment.
  • Tous les livres comptables d’Umicore seront tenus et présentés conformément aux règles juridiques de toute autorité législative compétente et ne peuvent contenir d’inscriptions erronées, trompeuses ou fausses. De plus, ils refléteront avec honnêteté et précision, et de manière suffisamment détaillée, l’actif, le passif, les recettes et les dépenses d’Umicore, ainsi que toutes les transactions ou circonstances afférentes, qui seront intégralement consignés.
  • Sauf cas autorisés par la législation ou par les règlements applicables, aucune transaction ne pourra être intentionnellement associée à un compte, une division ou une période comptable erronés, et aucun élément d’actif ou de passif ne peut rester non enregistré ou «officieux».

Répondre aux demandes de renseignements (presse, etc.)

L’image d’Umicore sur les marchés nationaux et internationaux est fortement influencée par notre capacité à communiquer de façon cohérente et professionnelle avec les parties extérieures, y compris les médias. Dès lors, Umicore applique en tout temps un principe de transparence, d’honnêteté et de réactivité dans ses relations avec les parties concernées en dehors d’Umicore, ainsi qu’avec la société en général. Cependant, les employés d’Umicore ne sont autorisés à divulguer aucune information non publique lorsqu’ils répondent à des demandes de renseignements provenant de parties externes.

Afin de maintenir une interface coordonnée avec les parties extérieures, les demandes d’informations générales sur Umicore ou sur son personnel, de même que toutes les demandes d’informations émanant des médias, seront aiguillées vers le département ou le responsable compétent en matière de communication. Toute demande d'informations de nature à avoir un impact sur Umicore sera soumise à Group Communications. Les demandes d’informations émanant d’analystes financiers ou d’investisseurs seront soumises à Corporate Investor Relations. Les demandes d’informations formulées par des avocats extérieurs seront soumises au Corporate Legal Department.

Non-ouverture de droits

Le présent Code de conduite énonce certains principes fondamentaux, politiques et procédures d’Umicore, auxquels doivent se conformer les membres du personnel et représentants d’Umicore. Il n’instaure aucun droit pour un quelconque client, fournisseur, concurrent, actionnaire ou autre personne ou organisme.

Inleiding

Umicore is van mening dat succes het resultaat is van een vertrouwensband en een professionele relatie met zijn voornaamste belanghebbenden, namelijk de medewerkers, de commerciële partners, de aandeelhouders, de overheidsinstellingen en het algemeen publiek.

Deze Gedragscode is een fundamenteel instrument in het creëren en in stand houden van deze vertrouwensband. De Gedragscode moet er vooral voor zorgen dat alle personen die namens Umicore handelen hun activiteiten uitvoeren op ethisch verantwoorde wijze en conform de wet- en regelgeving en de door Umicore via beleidslijnen, richtlijnen en regels vastgelegde normen. Met 'Umicore' wordt Umicore bedoeld en alle dochterondernemingen waarin het een meerderheidsbelang bezit.

Deze Gedragscode schept een beleidskader voor verantwoord gedrag bij Umicore, maar is niet alomvattend. De medewerkers van Umicore moeten er altijd naar streven om bij de uitvoering van hun functie blijk te geven van gezond verstand, zorg en aandacht.

Toepassingsgebied en verantwoordelijkheid

De Gedragscode is van toepassing op alle medewerkers (met inbegrip van tijdelijk personeel) van Umicore wereldwijd en op alle personen of entiteiten die handelen in naam van Umicore ('vertegenwoordigers van Umicore'). Dochterondernemingen waarin Umicore geen meerder­heids­belang bezit worden geacht ervoor te zorgen dat ook hun medewerkers de Gedragscode naleven. Is dit niet het geval, dan moet dit worden gemeld en zal de verdere betrokkenheid van Umicore worden herbekeken.

Elke medewerker krijgt elektronisch toegang tot de Gedragscode. De directie moet ervoor zorgen dat de Gedragscode wordt opgenomen in het opleidingsprogramma en dat de naleving ervan wordt bevorderd en gecontroleerd.

Medewerkers mogen niet handelen, of anderen aanmoedigen te handelen, op een manier die in strijd is met deze Gedragscode, zelfs als dit in het belang van Umicore lijkt te zijn. Indien een medewerker eraan twijfelt of een bepaalde activiteit (met inbegrip van die van een bestaande of potentiële zakenpartner) legaal of ethisch aanvaardbaar is, moet deze medewerker vooraf contact opnemen met zijn of haar directe leidinggevende of het hoofd van het Corporate Legal Department.

Inbreuken op deze Gedragscode worden niet getolereerd en kunnen, in overeenstemming met de toepasselijke wetgeving, leiden tot interne disciplinaire maatregelen, ontslag of zelfs straf­rechtelijke vervolging. Elk geval zal objectief worden beoordeeld, rekening houdend met alle omstandigheden.

Alle inbreuken op de Gedragscode worden geregistreerd en gerapporteerd, zowel via het lijn­management als via de HR-kanalen. Het Directiecomité ontvangt elk jaar een verslag met de inbreuken en de maatregelen die hiervoor werden genomen.

Wanneer er zich binnen de Groep ongepaste praktijken of onregelmatigheden voordoen, zullen de nodige correctieve acties en corrigerende maatregelen worden genomen om te vermijden dat deze zich opnieuw kunnen voordoen.

Klachten en bezorgdheden

Umicore wil een open discussie over verantwoord gedrag stimuleren. Het is dan ook de verant­woordelijkheid van alle medewerkers om elke bezorgdheid of klacht te melden aan hun directe leidinggevende. Medewerkers die dit niet opportuun achten kunnen met hun bezorgdheid of klacht terecht bij de lokale of regionale HR Director, het hoofd van het Corporate Legal Department of het Internal Audit Department. Deze meldingen kunnen worden ingediend in de door de medewerker gewenste taal en worden vertrouwelijk behandeld.

Van rechtswege moeten vragen over dubieuze boekhoudkwesties worden voorgelegd aan het hoofd van het Internal Audit Department.

Het discrimineren of lastigvallen van iemand die een inbreuk op de wetgeving of het beleid van Umicore aan het licht brengt, vormt een inbreuk op de Gedragscode. Als een medewerker een dergelijke inbreuk heeft gemeld en denkt dat dit op een of andere manier tegen hem of haar wordt gebruikt, moet contact opnemen met zijn of haar directe leidinggevende of de lokale of regionale HR Director of het hoofd van het Corporate Legal Department of het Internal Audit Department. Personen die een valse verklaring afleggen komen in aanmerking voor disciplinaire maatregelen.

Persoonlijk gedrag

Van alle medewerkers of vertegenwoordigers van Umicore wordt verwacht dat ze op een onberispelijke manier handelen en omgaan met zakenpartners, collega’s en anderen. Dit betekent onder meer dat ze begrip en respect moeten hebben voor andere culturen en gewoonten. Umicore duldt geen enkele vorm van pesterij, discriminatie of ander gedrag dat collega’s of zakenpartners als beledigend of denigrerend kunnen ervaren.

Gelijke kansen en diversiteit

Umicore zet zich in voor een inclusieve werkcultuur en erkent dat elke mens uniek en waardevol is en dat zijn individuele capaciteiten alle respect verdienen. Umicore duldt geen enkele vorm van pesterij of discriminatie op basis van geslacht, religie, ras, nationale of etnische afkomst, culturele achtergrond, sociale afkomst, handicap, seksuele geaardheid, burgerlijke staat, leeftijd of politieke overtuiging.

Umicore biedt gelijke arbeidskansen en behandelt alle medewerkers eerlijk. De medewerkers en business units van Umicore hanteren enkel verdiensten, kwalificaties en andere beroeps­gerelateerde criteria als basis voor personeelsbeslissingen zoals aanwerving, opleiding, verloning en promotie. Umicore engageert zich ook om programma's en acties op te zetten om diversiteit te bevorderen binnen de organisatie op basis van het principe van gelijke kansen.

Belangenconflicten en integriteit

Fraude en belangenconflicten

Het is alle medewerkers en vertegenwoordigers van Umicore verboden voordelen voor zichzelf (of voor naasten) te verkrijgen die ongepast zijn of de belangen van Umicore kunnen schaden, met inbegrip van financiële resultaten, aspecten inzake veiligheid, gezondheid en milieu en commerciële en publieke reputatie.

Het is verboden om deel te nemen aan of te proberen invloed uit te oefenen op beslissingen onder omstandigheden die aanleiding kunnen geven tot een feitelijk of vermeend belangen­conflict. Dergelijke omstandigheden kunnen een persoonlijk – al dan niet economisch – belang zijn, hetzij rechtstreeks, hetzij via een naaste.

Medewerkers die zich bewust worden van een mogelijk belangenconflict moeten dit onmiddellijk melden aan hun directe leidinggevende of het Corporate Legal Department. Belangenconflicten zijn niet altijd even duidelijk. In geval van twijfel moeten medewerkers dan ook contact opnemen met een van hun leidinggevenden of de lokale of regionale HR Director of het hoofd van het Corporate Legal Department of het Internal Audit Department.

Voor conflictgevoelige functies of verantwoordelijkheden bepaalt elke unit of afdeling welke processen nodig zijn om mogelijke belangenconflicten te identificeren.

Smeergeld, geschenken en gunsten


Het is verboden bij de uitoefening van de beroepsactiviteiten omzet te verwerven of te behouden of enig ander voordeel te verwerven door een overheidsfunctionaris (of een derde) een onrechtmatig voordeel aan te bieden, te beloven of te verlenen met de bedoeling dat die persoon iets doet, of nalaat te doen, in verband met de uitoefening van zijn of haar functie. Dit geldt ongeacht of dit voordeel rechtstreeks of via een tussenpersoon wordt aangeboden.

Geschenken of gunsten mogen enkel aan zakenpartners worden gegeven of toegekend als ze een beperkte waarde hebben, als dit niet frequent gebeurt en als de tijd en plaats hiervoor gepast zijn. Hoewel dergelijke geschenken in overeenstemming moeten zijn met lokaal aanvaarde goede zakelijke praktijken is het niet toegestaan om zakenpartners geldelijke of andere voordelen aan te bieden die de integriteit of onafhankelijkheid van een medewerker kunnen aantasten of die indruk kunnen wekken. Uit principe doet Umicore niet aan het aankopen in bulk, opslaan of verdelen van geschenkartikelen of relatiegeschenken van een bepaald merk.

Medewerkers of vertegenwoordigers van Umicore mogen van zakenpartners geen geldelijke of andere voordelen aanvaarden die hun integriteit of onafhankelijkheid kunnen aantasten of die indruk kunnen wekken. Geschenken en andere gunsten mogen enkel worden aanvaard als ze een beperkte waarde hebben, als dit niet frequent gebeurt en als de tijd en plaats hiervoor gepast zijn.

Medewerkers die geschenken of andere voordelen die verder gaan dan beleefdheids­geschenken krijgen aangeboden of hebben ontvangen of die zich onder druk gezet voelen om deze te geven moeten dit onverwijld melden aan hun directe leidinggevende of de lokale of regionale HR Director of het hoofd van het Corporate Legal Department of het Internal Audit Department.

Financiële belangen in andere ondernemingen


Medewerkers of vertegenwoordigers van Umicore en alle naaste familieleden moeten vermijden rechtstreeks of onrechtstreeks, hetzij als investeerder, kredietverlener, medewerker of andere dienstverlener, een persoonlijk belang in een ander bedrijf te hebben als dit hun loyaliteit jegens Umicore in het gedrang kan brengen of die indruk kan wekken. Vooraleer te investeren in een bedrijf dat met Umicore concurreert of met Umicore zakendoet (bv. als leverancier), behalve bij een belang van minder dan één procent (1%) in een beursgenoteerd bedrijf, moeten mede­werkers contact opnemen met hun directe leidinggevende of de lokale of regionale HR Director of het hoofd van het Corporate Legal Department of het Internal Audit Department. In alle omstandigheden moet bijzondere aandacht worden besteed aan mogelijke belangenconflicten zoals beschreven in punt "Fraude en belangenconflicten".

Activiteiten met een concurrent, leverancier of andere zakenpartner

Vooraleer activiteiten te ondernemen die kunnen worden beschouwd als het behartigen van de belangen van een concurrent of een leverancier of andere zakenpartner ten koste van de belangen van Umicore, met inbegrip van het zetelen in de raad van bestuur van dit bedrijf, moeten medewerkers contact opnemen met hun directe leidinggevende of de lokale of regionale HR Director of het hoofd van het Corporate Legal Department of het Internal Audit Department. Medewerkers van Umicore mogen geen producten of diensten op de markt brengen die concurreren met de bedrijfsactiviteiten of de ruimere belangen van Umicore.

Vertrouwelijke informatie

Informatie en intellectuele eigendom zoals auteursrechten, bedrijfsgeheimen, handelsmerken en innovatieve ideeën zijn waardevolle activa voor Umicore. Deze immateriële activa moeten op passende wijze worden beheerd en beschermd. Het algemeen beleid van Umicore inzake openheid en transparantie belet niet dat informatie die waardevol kan zijn voor de zakelijke belangen van Umicore op passende wijze wordt beschermd.

Alle informatie die medewerkers verwerven tijdens de uitvoering van hun functie, buiten algemene kennis en werkervaring, moet als vertrouwelijk worden beschouwd en behandeld. In dergelijke gevallen moeten medewerkers de regels tegen het bekendmaken of gebruiken van vertrouwelijke informatie voor persoonlijk gewin voor zichzelf of anderen naleven.

Bescherming van activa en documenten

Alle medewerkers en vertegenwoordigers van Umicore zijn verantwoordelijk voor het beschermen van de activa en de documenten die betrekking hebben op Umicore, zijn klanten en andere zakenpartners. Dergelijke activa moeten met aandacht en respect worden gebruikt en onderhouden. Verspilling en misbruik moeten worden vermeden. Zonder toestemming is het gebruik van tijd, materialen, financiële activa of faciliteiten van Umicore voor doeleinden die niet rechtstreeks verband houden met de activiteiten van Umicore verboden. Hetzelfde geldt voor het wegnemen of ontlenen van activa van Umicore zonder toestemming.

Compliance

Naleving van wetgeving – algemeen

Alle medewerkers van Umicore moeten alle toepasselijke wet- en regelgeving naleven bij het uitvoeren van activiteiten in naam van Umicore. Het is ten strengste verboden om mee te werken aan of deel te nemen aan inbreuken op de wetgeving door zakenpartners, ongeacht of Umicore dan wel de betrokken medewerker hierdoor een misdrijf begaat. Het is de verant­woorde­lijkheid van elke medewerker om voldoende inzicht te verwerven in de wet- en regel­geving die van toepassing is op zijn of haar functie.

Antitrust en mededinging

Alle medewerkers van Umicore worden geacht de toepasselijke antitrust- en mededingings­wetgeving na te leven. Het advies van de Corporate Legal Department moet worden ingewonnen bij alle kwesties waarbij Umicore, alle medewerkers en hun teamleden enig risico kunnen lopen op blootstelling aan de antitrustwetgeving.

Handel met voorkennis

Alle medewerkers van Umicore moeten zich onthouden van handel met voorkennis of van het verstrekken van advies met betrekking tot de handel in effecten van Umicore of elke andere beursgenoteerde onderneming op basis van niet-openbare informatie waarvan ze kennis krijgen tijdens de uitvoering van hun functie voor Umicore. In dit verband wordt van alle medewerkers verwacht dat ze zich houden aan de Dealing Code van Umicore, die terug te vinden is in Bijlage 5 van het Corporate Governance Charter van Umicore.

Bijhouden van documenten

Umicore streeft naar transparantie en nauwkeurigheid in alle activiteiten, met inachtneming van de vertrouwelijkheidsverplichtingen. Het is de verantwoordelijkheid van alle medewerkers of vertegenwoordigers van Umicore om de nodige documenten bij te houden over de activiteiten, zakenrelaties en transacties van Umicore. Het is ten strengste verboden om valse, misleidende of onechte boekingen op te nemen in de boekhouding of andere documenten van Umicore. Alle transacties moeten volledig worden gedocumenteerd en in de boekhouding van Umicore worden opgenomen overeenkomstig punt "Accurate periodieke verslaggeving en andere openbare financiële communicatie".

Accurate periodieke verslaggeving en andere openbare financiële communicatie

In het kader van de toepasselijke wetgeving betreffende effecten en beursgenoteerde bedrijven is Umicore verplicht volledige, eerlijke, accurate en begrijpelijke informatie te verstrekken in zijn periodieke financiële verslaggeving, in andere documenten die aan de toepasselijke regel­gevende instanties worden voorgelegd en in andere openbare mededelingen. Van onze medewerkers, meer bepaald onze Senior executives en verantwoordelijken binnen de financiële diensten, verwachten we dat zij de grootste zorgvuldigheid aan de dag leggen bij het opstellen van dergelijke documenten en dat ze nauwlettend toezien op de volgende punten:

  • Naleving van de algemeen aanvaarde grondslagen voor financiële verslaggeving en het systeem van interne controles van Umicore is te allen tijde vereist.
  • Alle boekhoudkundige documenten van Umicore moeten worden bijgehouden en gepresenteerd in overeenstemming met de wetgeving van het bevoegde rechtsgebied en ze mogen geen valse of bewust misleidende informatie bevatten. Verder moeten ze een getrouw, correct en redelijk gedetailleerd beeld geven van de activa, passiva, inkomsten en uitgaven van Umicore en moeten ze alle transacties of daarmee verband houdende gebeurtenissen volledig documenteren.
  • Tenzij dit is toegestaan door de toepasselijke wet- of regelgeving mag geen enkele transactie bewust worden geclassificeerd aan een verkeerde rekening, afdeling of verslag­periode en mogen geen niet-opgenomen of buiten de boeken om gehouden activa en passiva worden aangehouden.

Reageren op vragen naar informatie van pers en derden

Het profiel van Umicore op de nationale en internationale markt wordt in grote mate beïnvloed door ons vermogen om coherent en professioneel te communiceren met externe partijen, waaronder de media. Umicore hanteert daarom het principe van openheid, eerlijkheid en responsiviteit in de omgang met belanghebbenden buiten Umicore en de samenleving in het algemeen. Desondanks is het voor medewerkers van Umicore niet toegestaan om niet-openbare informatie bekend te maken in antwoorden op vragen van externe partijen.

Om een coherente communicatie met externe partijen te verzekeren moeten algemene vragen over Umicore of Umicore-medewerkers en alle vragen van de media worden doorverwezen naar de bevoegde communicatieafdeling of -verantwoordelijke. Alle vragen die een impact kunnen hebben op Umicore moeten worden doorverwezen naar Group Communications. Vragen van financieel analisten of investeerders moeten worden doorverwezen naar Corporate Investor Relations. Vragen van externe raadsheren moeten worden doorverwezen naar het Corporate Legal Department.

Niet rechtscheppend

Deze Gedragscode bundelt een aantal fundamentele principes, beleidslijnen en procedures van Umicore die van toepassing zijn op alle medewerkers en vertegenwoordigers van Umicore. De Gedragscode schept geen rechten voor klanten, leveranciers, concurrenten, aandeelhouders of andere personen of entiteiten.
