Corporate restructuring: merger of Umicore Anandeya India Private Limited with Umicore Autocat India Private Limited

Corporate restructuring by way of Merger of two Umicore entities in India viz., Umicore Anandeya India Private Limited (Transferor Company) and Umicore Autocat India Private Limited (Transferee Company) is in process. As required in Indian Law, Scheme of merger was filed with National Company Law Tribunal (NCLT) to seek its approval for proposed scheme of Merger.

Pursuant to NCLT directions, Creditors of both the companies are hereby informed that representations, if any, in connection with the proposed Scheme of Merger may be made to the NCLT, with a copy to Company, within thirty (30) days from the date of publication of this notice.

It is anticipated that this corporate restructuring shall help Transferee company to reap synergies and improve organizational capacity arising from pooling of financial resources.
