Notice of ordinary shareholders’ meeting - Two candidates nominated to join Umicore’s Board of Directors

Umicore invites its shareholders to the ordinary shareholders’ meeting which will be held on Tuesday 26 April 2016 at 17:00 at its registered office in Brussels.

Two new candidates are being proposed for election to Umicore’s Board of Directors and will be presented for approval at the ordinary shareholders’ meeting. If the nominations are approved, Umicore’s Board would consist of 11 members, 6 of whom would be Independent Directors.

The candidates are:

Françoise Chombar, who is 53 and of Belgian nationality, is co-Founder, Chief Executive Officer and Director of Melexis, a producer of integrated semiconductor sensor, driver and communication circuits for automotive applications. During her tenure as CEO she has developed Melexis into a world leader in its field and more than trebled profitability. Prior to assuming her role at Melexis she served as planning manager at Elmos GmbH (Germany) from 1986 to 1989. From 1989 she served as operations manager and director at several companies within the Elex group. She holds a master’s degree as Interpreter in Dutch, English and Spanish from the University of Ghent. Ms Chombar is a Board member of the ISEN Higher Education College for Engineers, a member of the STEM Advisory Board to the Flemish Government, a member of Women on Board and mentor in the women's network Sofia.

Colin Hall, 45 years old and of American nationality, is currently the Head of Investments at Groupe Bruxelles Lambert (GBL). Mr. Hall began his career in 1995 in the merchant banking group of Morgan Stanley. In 1997, he joined Rhône Group, a private equity firm, where he held various positions for 10 years in New York and London. In 2009, he was the co-founder of a hedge fund, sponsored by Tiger Management, where he worked until 2011. In 2012 he became CEO of Sienna Capital, a 100% subsidiary of GBL, which manages GBL’s alternative investments (private equity, credit and specific thematic funds). In 2016, Mr. Hall was appointed Head of Investments at GBL. He holds a BA from Amherst College and an MBA from the Stanford University Graduate School of Business. Mr Hall also serves as a Director and member of the Audit Committee of Imerys; Chairman of the Supervisory Board of the credit fund Kartesia Management; and a Director of Ergon Capital Partners.

Lors de l'assemblée générale ordinaire du mardi 26 avril, deux nouveaux candidats seront proposés en vue de rejoindre le Conseil d’administration d'Umicore et leurs candidatures seront soumises à l'approbation lors de l'assemblée générale. En cas d'approbation des nominations, le Conseil d’administration d'Umicore comptera 11 membres dont 6 Administrateurs indépendants.

Les candidats sont :

Françoise Chombar, 53 ans, de nationalité belge, est cofondatrice, Chief Executive Officer et administrateur de Melexis, un fabriquant de capteurs de semi-conducteurs intégrés, de systèmes de commande et de circuits de communication pour applications automobiles. Pendant son mandat de CEO, elle a fait de Melexis un leader mondial dans son domaine et a plus que triplé sa rentabilité. Avant de remplir cette fonction chez Melexis, elle a occupé un poste de planning manager à Elmos GmbH (Allemagne) de 1986 à 1989. A partir de 1989, elle a occupé les postes de directeur opérationnel et administrateur dans différentes sociétés du groupe Elex. Elle est titulaire d’un master d’interprétariat en néerlandais, anglais et espagnol à l’Université de Gand. Madame Chombar est membre du conseil d’administration de l’ISEN Higher Education College for Engineers (Haute Ecole pour ingénieurs), membre du comité consultatif STEM du gouvernement flamand, membre de Women on Board et mentor du Réseau de femmes Sofia.

Colin Hall, 45 ans, de nationalité américaine, est actuellement Responsable des Investissements au sein du Groupe Bruxelles Lambert (GBL). Monsieur Hall a débuté sa carrière en 1995 dans le groupe de la banque d’affaires Morgan Stanley. En 1997, il a rejoint Rhône Group, un fonds de placement privé, dans lequel il a occupé pendant 10 ans plusieurs fonctions à New York et Londres. En 2009, il a été cofondateur d’un fonds d’investissement, sponsorisé par Tiger Management, où il a travaillé jusqu’en 2011. En 2012, il est devenu Chief Executive Officer de Sienna Capital, société filiale de GBL, qui gère ses placements alternatifs (souscriptions privées, crédits et fonds thématiques spécifiques). En 2016, Monsieur Hall a été nommé Responsable des investissements chez GBL. Il est titulaire d’un BA du Collège d’Amherst et d’un MBA de Stanford University Graduate School of Business. Monsieur Hall est aussi Administrateur et membre du comité d’audit d’Imerys, Président du conseil de surveillance du fonds de crédit Kartesia Management et Administrateur d’Ergon Capital Partners.

Indien de benoemingen worden goedgekeurd, zal Umicore’s Raad van Bestuur uit 11 bestuurders bestaan, waarvan 6 onafhankelijke bestuurders.

De kandidaten zijn:

Ze behaalde een master diploma vertaler-tolk Nederlands, Engels en Spaans aan de universiteit van Gent. Mevrouw Chombar is bestuurslid van het ISEN Higher Education College for Engineers, lid van het STEM-adviesorgaan voor de Vlaamse Overheid, lid van Women on Board en mentor in het vrouwennetwerk Sofia.

Colin Hall, 45 jaar en van Amerikaanse nationaliteit, is momenteel Hoofd Investeringen bij Groep Brussel Lambert (GBL). Hij begon zijn loopbaan in 1995 in de groep van zakenbank Morgan Stanley. In 1997 vervoegde hij Rhône Group, een private equity fonds, waar hij 10 jaar lang verschillende functies bekleedde in New York en Londen. In 2009 was hij medeoprichter van een hedge fund dat door Tiger Management werd gesponsord. Hij werkte er tot in 2011. In 2012 werd hij Chief Executive Officer bij Sienna Capital, een 100% dochter van GBL die de alternatieve investeringen van GBL beheert (private equity, krediet- en specifieke thematische fondsen). In 2016 werd hij benoemd tot Hoofd Investeringen bij GBL. Colin Hall behaalde een diploma aan het Amherst College en is in het bezit van een MBA van de Stanford University Graduate School of Business. Hij bekleedt ook posities als bestuurder en lid van het Audit Committee bij Imerys; Voorzitter van de toezichtsraad van het kredietfonds Kartesia Management; en Bestuurder van Ergon Capital Partners.
