Umicore to sell its stake in beLife to Prayon

Umicore has recently entered into an agreement to sell all of its shares in beLife to its joint venture partner Prayon. beLife was created by both shareholders in order to demonstrate the industrial scale production of lithium iron phosphate (LFP) cathode material and to qualify this material at some of the major global Li-ion battery makers. Although all major project milestones in terms of product performance and industrial pilot scale manufacturing have been met, the future of beLife will benefit from a different shareholder structure.

The Li-ion battery industry is expected to grow significantly in the next decade. In view of the China-centered growth of LFP in the coming years, a locally focused organization is critical to participate in this segment of the market. Kurt Vandeputte, Vice President of Umicore’s Rechargeable Battery Materials business unit, commented further on this decision: “We are pleased with all the progress we have achieved with our JV-partner of beLife in recent years. Umicore has decided to further strengthen its efforts in NMC (nickel manganese cobalt) and high energy LCO (lithium cobaltite) cathode materials. These are the materials of choice in the fast growing automotive segment and portable electronic segment respectively.”

The share transfer is expected to take place in early 2016 and will have no material impact on Umicore's financial results.

Umicore a récemment conclu un accord en vue de vendre l'ensemble de ses actions de la coentreprise beLife à son partenaire Prayon. beLife a été créée par les deux actionnaires afin de démontrer la faisabilité de la production à l'échelle industrielle des matériaux cathodiques lithium fer phosphate (LFP) et de qualifier ces matériaux auprès de quelques-uns des principaux fabricants mondiaux de batteries Li-ion. Bien que les objectifs importants en matière de performance du produit et de production à échelle industrielle pilote aient été atteints, beLife tirera parti d'une structure d'actionnariat différente à l'avenir.

Le secteur des batteries Li-ion devrait croître de manière significative au cours de la prochaine décennie. Au vu d'une croissance du LFP centrée sur la Chine dans les prochaines années, une organisation avec un focus local est critique afin d'être présent dans ce segment de marché. Kurt Vandeputte, Vice President de la business unit Rechargeable Battery Materials d'Umicore a commenté cette décision: "Nous sommes satisfaits de l'ensemble des progrès réalisés ces dernières années avec notre partenaire au sein de la coentreprise beLife. Umicore a décidé de renforcer ses efforts en faveur des matériaux cathodiques NMC (nickel-manganèse-cobalt) et LCO (cobaltite de lithium) à haute densité énergétique. Ce sont les matériaux de choix pour le secteur automobile qui connait une croissance rapide (NMC) et pour celui de l'électronique portable (LCO)."

Le transfert de participation devrait avoir lieu au début 2016 et n'aura pas d'impact significatif sur les résultats financiers d'Umicore.

Umicore heeft een akkoord bereikt om haar aandelen in beLife aan haar joint venture partner Prayon te verkopen. beLife werd opgericht door beide aandeelhouders om de productie van LFP-kathodematerialen (lithium-ijzerfosfaat) op industriële schaal te demonstreren en deze producten te laten kwalificeren door een aantal grote wereldwijde lithium-ion batterijproducenten. Hoewel alle belangrijke mijlpalen van het project met betrekking tot productperformantie en de industriële productiepiloot werden behaald, zal een andere aandeelhoudersstructuur de toekomst van beLife beter dienen.

Verwacht wordt dat de industrie van lithium-ion batterijen sterk zal groeien de komende tien jaar. In de verwachting dat de groeiende vraag naar LFP de komende jaren vooral in China zal plaatsvinden, is een lokaal georiënteerde organisatie enorm belangrijk om in dit marktsegment actief te zijn. Kurt Vandeputte, Vice-President van Umicore Rechargeable Battery Materials, zei het volgende over deze beslissing: “We zijn tevreden met de vooruitgang die we de laatste jaren samen met onze joint venture partner bij beLife hebben geboekt. Umicore heeft echter beslist om haar inspanningen in high energy lithiumkobaltiet- (LCO) en nikkelmangaankobalt-kathodematerialen (NMC) verder op te drijven. Dit zijn de voorkeurmaterialen in respectievelijk de snelgroeiende auto-industrie en het marksegment van de draagbare elektronica.”

De aandelentransfer wordt verwacht begin 2016 en zal geen wezenlijke impact op de financiële resultaten van Umicore hebben.
