Union Minière tenths of shares

The shares were the ones representing the Union Minière capital before the merger with Société Générale de Belgique in 1981.

These shares can be recognized by the code 3525-33 (upper right corner of each share and coupon).

As from 2 April 1982 such 1/10th Union Minière shares, with coupons 45 and following attached, were exchangeable at a rate of 9 for 5 “parts de réserve” Société Générale de Belgique, coupons 11 and following attached.

In 1999 the “parts de réserve” Société Générale de Belgique were exchanged for Suez shares. As from then, the tenths of Union Minière shares were exchanged at the rate of 9 for 35 Suez shares with VVPR strips.

Recently the procedure has been simplified. It is no longer necessary to present a multiple of 9 tenths of Union Minière shares. Also, you will no longer receive Suez shares. For each tenth of Union Minière share you will now obtain a fix amount at the “Caisse de Dépôts et Consignation”, Avenue des Arts 30, B-1040 Brussels - Phone : + 32 2 574 78 25. This amount contains a compensation for the shares and for the dividends that were attached. Please contact the “Caisse de Dépôts et Consignation” for more information about this exchange and the compensation.

ACEC shares – Acec-Union Minière tenths of shares

The Ateliers de Constructions Electriques (ACEC) shares (“part sociale au porteur” - “Titre créé après le 6 octobre 1944”) were exchangeable in 1989 for Acec-Union Minière tenths of shares.

These tenths of Acec-Union Minière shares can be recognized by the code 3628-39 (upper right corner of each share and coupon). These tenths of shares are only tradable on the monthly public sales but are not tradable on Euronext Brussels.

Two of these ACEC shares or two tenths of Acec-Union Minière shares are exchangeable for one Umicore share (ISIN code BE0003884047) through Fortis Bank (Service Caissier Corporate Actions – AMS 4i), rue Montagne du Parc, 3, B-1000 Brussels.

The Umicore shares are traded on Euronext Brussels.

It is advisable to contact Fortis Bank by e-mail (bpi.custody-ost-physical@fortis.lu) in order to receive all practical information for such exchange.

Please note that the former ACEC shares may not be longer exchanged for one tenth of Acec-Union Minière share. These shares are only exchangeable by multiple of two.

Please also note that coupon nr 14 of the tenths of Acec-Union Minière shares has been declared void.

Presently 2 tenths of Acec-Union Minière shares, coupons 18 and following attached give right to one Umicore dematerialised or registered share (BE0003884047) and to one Cumerio share with all coupons attached. Since the public take-over bid of Norddeutsche Affinerie AG on the Cumerio shares on 28-01-2008 and the subsequent delisting of Cumerio shares on 09-04-2008, it is no longer possible to obtain the Cumerio shares. The shareholder will receive 30 euro (as offered by Norddeutsche Affinerie AG) per Cumerio share from the “Caisse de Dépôts et Consignation”, Avenue des Arts 30, B-1040 Brussels - Phone : + 32 2 574 78 25. The dividends can be claimed from Aurubis Belgium, Rue du Marais 31, B-1000 Brussels - Phone: +32 2 227 12 17.

  1. On December 1, 1994, the AFV1 and AFV2 shares were converted into VVPR shares. AFV1 and AFV2 shares were issued in exchange for MHO AFV shares and Vieille-Montagne AFV shares, respectively.
  2. - On March 26, 1999, the VVPR shares became ordinary shares following the issue of VVPR strips against presentation of coupon No. 5 attached to the VVPR shares. Coupon No. 5 attached to the ordinary shares was declared void. Consequently, no dividend was paid against presentation of coupon No. 5.
    - On November 7, 2003, the Board of Directors decided to increase the capital of the company by the issuance of up to 2,400,000 new shares with VVPR strips (= Priority Tranche). Additionally, the Board decided to grand to the Joint Global Coordinators and Bookrunners an Over-allotment to subscribe for up to 400,000 new additional shares with VVPR strips (= Free Tranche). The right to subscribe to the Priority Tranche was represented by coupon No. 11. This coupon was declared null and void at the end of the bookbuilding and subscription period.
    - On April 28, 2005, Umicore was partially split into Umicore and Cumerio (a new company, also quoted at Euronext stock exchange). 1 coupon 14 attached to the Umicore share gives the right to 1 share of Cumerio.
  3. On February 29, 2008, the ordinary shares and the VVPR shares were splited by 5. The dividend between brackets is the restated figure for the stock split in order to facilitate the comparaison with the dividend from 2007.
