Umicore invites its shareholders to participate in its ordinary, special and extraordinary shareholders’ meetings which will be held on Thursday 28 April 2022 at 17:00 CEST in the “Marquis Building” (rue du Marquis 1, 1000 Brussels). The meetings will also be live webcast and accessible here for passive listening on April 28; there will be no opportunity to vote or ask questions via webcast.

Umicore continues to closely monitor developments of the COVID-19 pandemic and related safety instructions issued by the authorities. It will inform its shareholders in a timely manner in the event of changes to the attendance or participation modalities as a result of amended safety measures imposed by the authorities. 


Proposed change to the Supervisory Board

The Supervisory Board proposes the appointment of Alison Henwood as a new independent Supervisory Board member on 1 September 2022. Upon appointment, Ms. Henwood will also join the Audit Committee of Umicore’s Supervisory Board.

Ms. Henwood, who has dual British and American citizenship, holds a PhD from the department of Earth Sciences at the University of Cambridge and is a qualified accountant. She is a highly experienced finance professional with a nearly 30-year career with Shell in various financial leadership positions in Europe and the US. She currently serves as Executive Vice President Finance, Shell Trading and Supply. Ms. Henwood is due to retire from Shell in the near future and would join the Umicore Supervisory Board after that. Since 2017, she has chaired the Audit Committee of the UK Hydrographic Office, a Ministry of Defence agency that provides hydrographic and marine geospatial data to mariners and maritime organizations across the world. She also recently joined the Board of Spectris plc, a global supplier of precision instrumentation, test equipment and software and a constituent of the FTSE 250. 

Thomas Leysen, Chairman of the Supervisory Board, commented: “On behalf of the Supervisory Board, I am very pleased to propose Alison Henwood for appointment. Her nomination will further strengthen Umicore’s Supervisory Board as well as the Audit Committee as she contributes valuable and highly relevant experience in the fields of finance, compliance, risk management and of the global energy sector. She also brings a deep understanding of ESG related matters.”


Proposed new remuneration policy

The company has undertaken a detailed review of its remuneration policy. The purpose of the changes, as reflected in the proposed new policy, is to ensure Umicore’s remuneration structure and policy are in line with current international remuneration trends and reward fairly and responsibly with a clear link to sustainable performance and the creation of long-term value. 

The proposed policy also responds to feedback received from shareholders and institutional investors and provides for increased disclosure, in particular around Umicore’s performance goals in relation to variable pay.

The nomination and remuneration committee has taken market benchmarks into consideration with the aim to offer a well-balanced remuneration, ensuring that Umicore can attract, motivate and retain the right talent for its management board.

The proposed changes include:

  • Revised short- and long-term variable remuneration plans adding next to revised financial goals also sustainability objectives in alignment with Umicore’s Let’s Go for Zero ESG strategy.
  • Replacement of the current deferred cash compensation plan with a Performance Share Unit (PSU) Plan for the long-term variable remuneration. 
  • Reduced number of unconditional share awards, redistributed over increased variable remuneration and fixed annual fee. 
  • Increased timescale of shareholding build-up from 3 to 5 years.
  • Possibility to grant a sign-on fee for external recruitment to cover the loss of unvested variable remuneration and equity awards faced by the individual when changing companies.

The proposed policy will be submitted to Umicore’s annual shareholders’ meeting, and if approved, will apply as of 1 January 2022. It will further strengthen alignment to Umicore’s strategic objectives and drive strong sustainable performance.

Avis de convocation aux assemblées générales ordinaire, spéciale et extraordinaires des actionnaires

Umicore invite ses actionnaires à participer à ses assemblées générales ordinaire, spéciale et extraordinaire qui se tiendront le jeudi 28 avril 2022 à 17h00 CEST dans le bâtiment « Le Marquis » (rue du Marquis 1, 1000 Bruxelles). Les assemblées générales seront également retransmises et accessibles ici pour une écoute passive le 28 avril. Il n’y aura pas de possibilité de voter ou de poser des questions via cette retransmission.

Umicore continue de suivre de près l'évolution de la pandémie de COVID-19 et les instructions de sécurité connexes émises par les autorités. Elle informera ses actionnaires en temps utile en cas de changement des modalités d'assistance ou de participation suite à la modification des mesures de sécurité imposées par les autorités.  


Proposition de modification du conseil de surveillance

Le conseil de surveillance propose la nomination d'Alison Henwood en tant que nouveau membre indépendant du conseil de surveillance au 1er septembre 2022. Dès sa nomination, Mme Henwood rejoindra également le comité d'audit du conseil de surveillance d'Umicore.

Mme Henwood, qui possède la double nationalité britannique et américaine, est titulaire d'un doctorat du département des Sciences de la Terre de l'université de Cambridge et est membre du Chartered Institute of Management Accountants (CIMA). Elle est une professionnelle de la finance très expérimentée, avec une carrière de près de 30 ans chez Shell à divers postes de direction financière en Europe et aux États-Unis. Elle occupe actuellement le poste d’Executive vice-présidente des finances de Shell Trading and Supply. Mme Henwood doit prochainement prendre sa retraite de Shell et rejoindrait ensuite le conseil de surveillance d'Umicore. Depuis 2017, elle préside le comité d'audit du UK Hydrographic Office, une agence ministérielle de la Défense qui fournit des données hydrographiques et géospatiales marines aux marins et aux organisations maritimes du monde entier. Elle a également rejoint récemment le conseil d'administration de Spectris plc, un fournisseur mondial d'instruments de précision, d’équipements de test et de logiciels, membre du FTSE 250.  

Thomas Leysen, président du conseil de surveillance, a commenté : "Au nom du conseil de surveillance, je suis très heureux de proposer la nomination d'Alison Henwood. De par son expérience précieuse et très pertinente dans les domaines de la finance, de la conformité, de la gestion des risques et du secteur énergétique mondial, sa nomination renforcera davantage le conseil de surveillance d'Umicore ainsi que le comité d'Audit. Elle apporte également une compréhension approfondie des questions liées à l'ESG." 


Proposition de modification du conseil de surveillance

La société a entrepris une révision détaillée de sa politique de rémunération. L'objectif des changements, tels que reflétés dans la nouvelle politique proposée, est de s'assurer que la structure et la politique de rémunération d'Umicore sont conformes aux tendances internationales actuelles en matière de rémunération et qu'elles récompensent de manière équitable et responsable en établissant un lien clair avec les performances durables et la création de valeur à long terme.  

La politique proposée répond également aux commentaires reçus des actionnaires et des investisseurs institutionnels et prévoit une divulgation accrue, notamment en ce qui concerne les objectifs de performance d'Umicore en matière de rémunération variable.

Le comité de nomination et de rémunération a pris en considération les références du marché dans le but d'offrir une rémunération bien équilibrée, garantissant qu'Umicore puisse attirer, motiver et retenir les bons talents pour son comité de direction.

Les changements proposés sont les suivants : 

  • Des plans révisés de rémunération variable à court et à long terme ajoutant, à côté des objectifs financiers révisés, des objectifs de durabilité en accord avec la stratégie ESG d'Umicore "Let's Go for Zero".
  • Remplacement du plan actuel de rémunération différée en espèces par un plan d'unités d'actions de performance (UAP) pour la rémunération variable à long terme.
  • Réduction du nombre d'attributions inconditionnelles d'actions, redistribuées sur une augmentation de la rémunération variable et des honoraires annuels fixes.
  • Augmentation du délai de constitution de l'actionnariat de 3 à 5 ans.
  • Possibilité d'accorder une prime d'engagement pour le recrutement externe afin de couvrir la perte de la rémunération variable et des primes en actions non acquises à laquelle l'individu est confronté lorsqu'il change d'entreprise.

La politique proposée sera soumise à l'assemblée annuelle des actionnaires d'Umicore et, si elle est approuvée, sera applicable à partir du 1er janvier 2022. Elle renforcera encore l'alignement aux objectifs stratégiques d'Umicore et favorisera une solide performance durable.

Oproep tot gewone, bijzondere en buitengewone algemene vergaderingen

Umicore nodigt haar aandeelhouders uit om deel te nemen aan haar gewone, bijzondere en buitengewone aandeelhoudersvergaderingen die zullen worden gehouden op donderdag 28 april 2022 om 17:00 CEST in het Markiesgebouw (Markiesstraat 1, 1000 Brussel). De vergaderingen zullen ook live via webcast worden uitgezonden en toegankelijk zijn hier voor passieve beluistering op 28 april; er zal geen gelegenheid zijn om te stemmen of vragen te stellen via webcast.

Umicore blijft de ontwikkelingen met betrekking tot de COVID-19 pandemie en de door de autoriteiten uitgevaardigde veiligheidsinstructies op de voet volgen. Zij zal haar aandeelhouders tijdig informeren in geval van wijzigingen aan de aanwezigheids- of deelnemingsmodaliteiten ten gevolge van gewijzigde veiligheidsmaatregelen opgelegd door de autoriteiten. 


Mededeling van een wijziging in de raad van toezicht

De raad van toezicht stelt de benoeming voor van Alison Henwood als nieuw onafhankelijk lid van de raad van toezicht op 1 september 2022. Bij haar benoeming zal mevrouw Henwood ook toetreden tot het auditcomité van de raad van toezicht van Umicore.

Mevrouw Henwood, die zowel de Britse als de Amerikaanse nationaliteit heeft, is doctor in de Aardwetenschappen aan de universiteit van Cambridge en is lid van het Chartered Institute of Management Accountants. Zij is een zeer ervaren finance professional met een carrière van bijna 30 jaar bij Shell in diverse financiële leidinggevende functies in Europa en de Verenigde Staten. Momenteel bekleedt zij de functie van Executive Vice President Finance, Shell Trading and Supply. Mevrouw Henwood zal in de nabije toekomst Shell verlaten en zou daarna toetreden tot de raad van toezicht van Umicore. Sinds 2017 is ze voorzitter van het auditcomité van het UK Hydrographic Office, een agentschap van het ministerie van Defensie dat hydrografische en mariene geospatiale gegevens levert aan zeelieden en maritieme organisaties over de hele wereld. Zij is onlangs ook toegetreden tot de raad van bestuur van Spectris plc, een wereldwijde leverancier van precisie-instrumentatie, testapparatuur en software, die deel uitmaakt van de FTSE 250.

Nieuw voorgesteld remuneratiebeleid

De onderneming heeft een grondige herziening van haar verloningsbeleid uitgevoerd. Het doel van de wijzigingen, zoals weergegeven in het voorgestelde nieuwe beleid, is ervoor te zorgen dat de vergoedingsstructuur en het remuneratiebeleid van Umicore in overeenstemming zijn met de huidige internationale vergoedingstrends en dat ze op een eerlijke en verantwoorde manier vergoeden met een duidelijke link naar duurzame resultaten en het creëren van waarde op lange termijn. 

Het voorgestelde beleid komt ook tegemoet aan de feedback van aandeelhouders en institutionele beleggers en voorziet in meer informatieverstrekking, in het bijzonder over de resultatendoelstellingen met betrekking tot variabele vergoeding.

Het benoemings- en remuneratiecomité heeft rekening gehouden met de marktreferenties met het oog op een evenwichtige vergoeding te bieden zodat het Umicore in staat stelt het juiste talent voor haar directieraad aan te trekken, te motiveren en te behouden.

De voorgestelde wijzigingen hebben betrekking op:

  • Herziene variabele vergoeding op korte en lange termijn, waaraan naast herziene financiële doelstellingen ook duurzaamheidsdoelstellingen worden toegevoegd in lijn met de ‘Let’s go For zero’-strategie van Umicore.
  • Vervanging van het huidige uitgestelde variabele cash vergoedingsplan door een Performance Share Unit Plan (PSU-plan) voor de variabele vergoeding op lange termijn.
  • Vermindering van het aantal onvoorwaardelijk toegekende aandelen, herverdeeld over een hogere variabele vergoeding en een vaste jaarlijkse vergoeding.
  • Verhoogd tijdschema voor de opbouw van het vereiste minimum bezit van aandelen van 3 naar 5 jaar.
  • Mogelijkheid om een sign-on vergoeding toe te kennen voor externe rekrutering ter compensatie van niet-verworven variabele vergoeding en aandelen die personen verliezen als ze van onderneming veranderen.

Het voorgestelde beleid zal voorgelegd worden op de jaarlijkse aandeelhoudersvergadering en zal, indien goedgekeurd, van toepassing zijn vanaf 1 januari 2022. Het zal toelaten om het remuneratiebeleid nog beter af te stemmen op de strategische doelstellingen van Umicore en sterke duurzaamheidsresultaten stimuleren.
